TransPerfect Legal Solutions Hosts Panel Discussion on Second Requests

Interactive Program Features Foremost Experts on Second Requests under the Hart-Scott-Rodino Antitrust Improvements Act

WASHINGTON, D.C. – TransPerfect Legal Solutions (TLS), the world’s leading provider of global legal support services, is hosting a panel discussion in Washington, DC today to address the challenges and trends associated with compliance with Second Requests under the Hart-Scott-Rodino Antitrust Improvements Act. The panel, co-sponsored by FTI Technology, the e-discovery business segment of global consulting firm FTI Consulting, features some of the industry’s foremost experts on this topic, including:

  • Michael H. Knight, Partner, Jones Day
  • Jeremy Morrison, Staff Attorney; Mergers IV, Federal Trade Commission
  • Adam Hemlock, Partner, Weil, Gotshal & Manges
  • Jonathan S. Gowdy, Partner, Morrison Foerster
  • Kathryn A. McCarthy, Counsel, Simpson Thacher
  • Karen Morgan, Associate, Crowell & Moring
  • Brooke Christian, Senior Vice President of Global Sales & Marketing, TransPerfect Legal Solutions
  • Manfred Gabriel, Managing Director, FTI Technology

According to the FTC, in fiscal year 2010, 1,166 transactions were reported under the HSR Act, representing about a 63% increase from the 716 transactions reported during that year. The Commission challenged 22 transactions, leading to 19 consent orders—one of which was obtained after the Commission filed an administrative complaint. The other three transactions were abandoned after the parties learned of the Commission’s concerns.

“In recent years, the amount of data and documents responsive to second requests has increased exponentially,” notes panelist Jeremy Morrison of the United States Federal Trade Commission. “Staff has recognized the increased burden this imposes on merging parties and will continue to work with them to find solutions that allow the agency to fully investigate potentially anticompetitive mergers, while at the same time, not imposing overly-burdensome compliance requirements on the parties.”

The format of the panel will include a combination of theoretical discussion and real-world experience sharing. Attendees of the forum will receive 2.5 hours of CLE credit applicable to Virginia and New York State Bar requirements.

“With all the costs and time burdens associated with second requests, we wanted to take a leading role in sharing best practices surrounding compliance,” notes TLS Senior Vice President Brooke Christian. “Thanks to such a strong panel of experts, the attendees at this event should come away with some new strategies and tactics that will benefit their organizations and clients.”
